Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") apply to every service Diesel Dudes provides, including emergency roadside assistance, repairs, maintenance, diagnostics, inspections, and fleet services ("Services"), and to every customer, whether an individual, an owner-operator, or a business. By requesting, scheduling, approving, accepting, or paying for Services, whether by phone, text, email, our website, or by signing or approving a work order, estimate, invoice, or inspection scope, you agree to be bound by these Terms. If you do not agree, do not use our Services.

2. Service Description

Diesel Dudes provides mobile diesel mechanic services including but not limited to:

• Emergency roadside assistance
• On-site diesel repairs and maintenance
• Mobile tire services
• Engine diagnostics and repair
• Fleet maintenance services
• Vehicle inspections, including pre-purchase inspections (see Section 4)

3. On-Site Assessment and Work Orders

All services are subject to on-site assessment. Final pricing, scope of work, and service timeline will be determined after our technician evaluates your vehicle(s) on-site. A work order or estimate will be provided before repair work begins, which must be approved by the customer.

The on-site assessment includes:

• Visual inspection of the reported issue
• Diagnostic testing as needed
• Identification of required parts and labor
• Preparation of a cost estimate
• Estimated completion time

Estimates are good-faith estimates based on the information available at the time. Additional conditions are often discovered once work begins, and the scope and price may change with your approval. The scope of any service is limited to what is described in the approved work order, estimate, or inspection scope.

4. Inspections, Diagnostics, and Pre-Purchase Inspections

Diesel Dudes offers vehicle inspections, diagnostic services, and pre-purchase inspections ("Inspections"). The following applies to every Inspection:

• An Inspection is an opinion, not a guarantee. An Inspection reflects our technician's professional opinion of the observable condition of the vehicle at the time and place of the Inspection, based on a visual and non-invasive examination and, only where included in the written scope, a road test and basic diagnostic tools. It is not a guarantee, warranty, or certification of the vehicle's condition, safety, reliability, value, remaining service life, or future performance.
• Not a dealer inspection. Our Inspections are not manufacturer or dealership inspections. They do not use manufacturer-proprietary diagnostic systems, and they are not a substitute for one. We encourage you to obtain a manufacturer or dealer inspection before any significant purchase.
• Not a DOT or regulatory certification. Unless a Federal Motor Carrier Safety Administration annual inspection is expressly identified as the service on a written work order and performed by a qualified inspector, an Inspection is not an annual inspection under 49 CFR Part 396, a state safety or emissions inspection, or any other regulatory certification, and no report or checklist we provide should be relied upon as one.
• Scope is limited to what is written. An Inspection covers only the items identified in the written scope or report. Components that are not listed, are not accessible without disassembly, or cannot be evaluated without specialized equipment are not covered. Inspections do not include teardown, internal engine, transmission, axle, or hydraulic examination, or removal of components.
• Some conditions cannot be found by inspection. These include internal wear, intermittent electrical faults, conditions that appear only under load, over time, or in specific operating conditions, and defects concealed by prior repairs. We are not responsible for conditions that were not reasonably observable during the Inspection as scoped.
• Your decision is your own. Any decision to purchase, sell, finance, operate, or repair a vehicle is made solely by you, at your own risk, based on your own judgment. Diesel Dudes is not a party to any vehicle sale, has no interest in whether a sale occurs, and makes no representation about a vehicle's value or suitability for purchase.
• Inspections are not warrantied. The Service Warranty in Section 6 applies to repair labor only and does not apply to Inspections, diagnostics, estimates, or assessments.

DIESEL DUDES IS NOT LIABLE FOR THE PURCHASE PRICE OF ANY VEHICLE, THE COST OF REPAIRING A VEHICLE, DIMINISHED VALUE, LOSS OF USE, DOWNTIME, OR ANY OTHER LOSS ARISING FROM A DECISION YOU MAKE IN RELIANCE ON AN INSPECTION. OUR TOTAL LIABILITY IN CONNECTION WITH ANY INSPECTION IS LIMITED TO THE FEE YOU PAID FOR THAT INSPECTION.

5. Pricing and Payment

Every job is quoted upfront before work begins. Service pricing includes:

• Dispatch Fee: Covers travel to your location and initial assessment
• Labor Charges: Based on industry-standard hourly rates; a two-hour labor minimum applies
• Parts and Materials: Marked up from wholesale cost
• Emergency Service Premium: Additional charges apply for after-hours, weekend, and holiday service

Payment is due upon completion of services unless prior arrangements have been made. We accept cash, check, and major credit cards. Fleet accounts may be eligible for NET payment terms.

Invoices not paid when due accrue a late charge of 1.5% per month or the maximum permitted by law, whichever is less. You are responsible for our reasonable costs of collecting any unpaid invoice, including attorneys' fees. To the extent permitted by law, Diesel Dudes may assert a mechanic's or possessory lien on a vehicle for unpaid charges and may charge reasonable storage fees for a vehicle left in our custody. By providing a payment card, you authorize us to charge it for approved work and applicable fees. Estimates are valid for 30 days; parts pricing may change after that.

6. Service Warranty

Diesel Dudes warrants repair labor performed by Diesel Dudes and identified on an approved work order for a period of 90 days from the date of service. Parts are warrantied according to the manufacturer's warranty terms. This warranty covers defects in workmanship but does not cover:

• Normal wear and tear
• Damage due to accident, misuse, or neglect
• Modifications made after our service
• Pre-existing conditions not addressed in the original work order
• Components we did not repair or replace, including components adjacent to or connected with our work
• Inspections, diagnostic services, estimates, assessments, or advice (see Section 4)

To make a warranty claim, you must notify us in writing within the warranty period and make the vehicle available for our inspection before any third-party repair. We are not responsible for repair costs incurred at a third party without our prior written approval. Our sole obligation under this warranty is to re-perform the defective labor or, at our option, refund the labor charge for it.

EXCEPT AS EXPRESSLY STATED IN THIS SECTION, DIESEL DUDES MAKES NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND ALL SUCH WARRANTIES ARE DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

• Diesel Dudes' total liability for any claim arising out of or relating to the Services, whether in contract, tort (including negligence), warranty, or otherwise, is limited to the amount you paid Diesel Dudes for the specific service giving rise to the claim.
• Diesel Dudes is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits or revenue, loss of use, downtime, the cost of substitute vehicles or services, cargo or load damage, diminished value, towing or transport charges (unless expressly included in the service), or the purchase price or repair cost of any vehicle.
• Diesel Dudes is not liable for pre-existing conditions, conditions not addressed in the approved work order or inspection scope, conditions not reasonably observable during a visual and non-invasive examination, subsequent failure of components we did not repair or replace, or delays caused by parts availability, weather, or circumstances beyond our reasonable control.
• Before pursuing any claim relating to our work, you agree to notify us in writing and give us a reasonable opportunity to inspect the vehicle and, where applicable, to remedy the issue. Claims based on third-party findings or repairs made without that opportunity are limited accordingly.
• Any claim arising out of or relating to the Services must be brought within one (1) year after the date of the service giving rise to the claim, or it is waived.

Some jurisdictions do not allow certain limitations, in which case these limitations apply to the fullest extent permitted.

8. Customer Responsibilities

Customers must:

• Provide accurate and complete information about the vehicle, its history, and the issue reported
• Disclose known defects, prior repairs, and any prior inspection findings
• Ensure safe access to the vehicle
• Disclose any hazardous materials or conditions
• Have authority to approve work on the vehicle
• Make their own decisions regarding the purchase, repair, and operation of any vehicle, and obtain any additional inspections they consider appropriate
• Notify us promptly of any concern with our work and allow us to inspect before authorizing third-party repairs they intend to claim against us
• Make prompt payment for services rendered

9. Safety and Regulatory Compliance

Our technicians follow applicable safety practices when performing services. Unless expressly identified on a written work order, our services do not include and do not constitute a Federal Motor Carrier Safety Administration annual inspection, a state safety or emissions inspection, or any other regulatory certification, and no service, report, or checklist should be relied upon as one. Customers remain solely responsible for the regulatory compliance of their vehicles and operations.

Customers must maintain a safe work environment for our technicians, including adequate lighting and level ground when possible.

10. Technicians

Services may be performed by Diesel Dudes employees or by independent contractor technicians engaged by Diesel Dudes. Regardless of who performs the work, your agreement is with Diesel Dudes, these Terms govern, and the warranty and liability provisions above apply. Technicians are not authorized to make commitments on behalf of Diesel Dudes beyond the approved work order. Any arrangement between you and a technician outside a Diesel Dudes work order is not a Diesel Dudes service and is not covered by these Terms, our warranty, or our insurance.

11. Vehicle Operation, Road Tests, and Safety Advisories

• You authorize our technician to start, operate, and road-test the vehicle as reasonably necessary to diagnose or complete the service. Pre-existing conditions that manifest during operation or a road test are not our responsibility.
• If our technician advises that a vehicle is unsafe to operate, should not be driven, or requires further repair, and you operate it anyway, you do so at your own risk. Diesel Dudes is not liable for any resulting damage, injury, or loss.
• At roadside and job-site locations, you are responsible for the safety and security of the vehicle, its cargo, and the scene before our arrival and after our departure. We may decline or discontinue service at any location we consider unsafe.
• Estimated arrival times are estimates. We do not guarantee response times unless a written service agreement expressly provides one.

12. Parts

• Parts we supply are new, remanufactured, or used as identified on the work order. Used and remanufactured parts carry only the warranty stated on the work order.
• If you supply your own parts, we install them at your risk. We do not warrant customer-supplied parts; labor to install them is warrantied only against installation defects; and we are not liable for damage caused by a defective, incorrect, or incompatible customer-supplied part.
• Replaced parts are disposed of unless you request them before work begins. Core charges apply where noted.

13. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Diesel Dudes and its owners, employees, and technicians from any claim, loss, or expense, including reasonable attorneys' fees, arising from: (a) inaccurate or incomplete information you provide; (b) hazardous materials or conditions at the service location that you did not disclose; (c) your operation of a vehicle contrary to our safety advisory; (d) customer-supplied parts; (e) cargo, load, or third-party property; or (f) your breach of these Terms.

14. Photos and Records

We may photograph and record the vehicle, its condition, and our work for documentation, quality, warranty, and dispute purposes, and we retain those records. We may use photographs of our work in our marketing with license plates, company names, VINs, and other identifying information obscured, unless you ask us in writing not to.

15. Cancellation Policy

Service calls may be cancelled without charge if notice is given at least 1 hour before the scheduled arrival time. Cancellations with less notice may incur a service call fee.

16. SMS/Text Messaging Program

Program Name: Diesel Dudes Onboarding & Service Notifications

Program Description: Diesel Dudes sends transactional SMS/text messages related to mechanic onboarding (application status, appointment reminders, document requests) and service scheduling. No marketing messages are sent via SMS.

Message Frequency: Message frequency varies. Typically 2-5 messages during the onboarding process and occasional messages for service scheduling.

Message and Data Rates: Message and data rates may apply. Check with your mobile carrier for details about your messaging plan.

Opt-Out: Text STOP to any message to opt out of SMS notifications. You will receive one final confirmation message. Opting out of SMS will not affect email communications.

Supported Carriers: Major US carriers are supported. Carriers are not liable for delayed or undelivered messages.

By submitting a mechanic application or requesting service, you consent to receive transactional SMS messages from Diesel Dudes. Your consent is not a condition of employment or service.

17. Dispute Resolution

Any dispute arising from these Terms or our Services shall first be raised with us in writing and resolved through good faith negotiation for a period of at least 30 days. If negotiation fails, the dispute shall be submitted to binding arbitration administered by the American Arbitration Association under its rules, conducted in York County, South Carolina, on an individual basis. You and Diesel Dudes each waive any right to bring or participate in a class or representative action. Either party may bring an individual claim in small claims court where jurisdictionally permitted.

18. Service Area

Services are available across the I-77, I-20, and I-26 corridors around Charlotte and Columbia. Additional charges may apply for locations outside our standard service area.

19. Changes to Terms

Diesel Dudes may update these Terms at any time by posting the revised Terms on this page. The Terms in effect when you request a Service govern that Service. Updated Terms apply to every Service requested on or after the posting date, and your continued use of our Services after a change constitutes acceptance of the updated Terms. To the fullest extent permitted by law, the most current Terms also govern any ongoing relationship with us, including fleet accounts and repeat customers.

21. Entire Agreement and Severability

These Terms, together with any written work order, estimate, or inspection scope you approve, are the entire agreement between you and Diesel Dudes regarding the Services. If an approved work order conflicts with these Terms, the work order controls for that service only. If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver of it. Diesel Dudes may assign these Terms and any work order to a successor or affiliate, including in connection with a sale of the business; you may not assign them without our written consent.

22. Governing Law

These Terms shall be governed by the laws of the State of South Carolina without regard to conflict of law provisions, except that services performed in North Carolina are governed by North Carolina law to the extent its law is required to apply.
